Buyer Undertaking Letter for a Used Car: What It Is and Free Format
When a used car changes hands, the invoice records the price, the sale letter confirms the transfer, and the delivery note documents the handover. The buyer undertaking letter is the fourth piece: the buyer's written commitment to honour their obligations from the date of purchase.
It is not the most famous document in a car deal, but it is the one that saves dealers from disputes over traffic challans, delayed RC transfers, and post-sale liability claims.

What is a buyer undertaking letter?
A buyer undertaking (sometimes called an indemnity letter or buyer declaration) is a signed statement from the buyer. It confirms that:
- The buyer has inspected and accepted the vehicle in its current condition
- All traffic challans or fines raised against the vehicle after the delivery date are the buyer's responsibility
- The buyer will complete the RC name transfer at the RTO within the legally required period (typically 30 days for the same state, 45 days for another state under the Motor Vehicles Act)
- The buyer will arrange their own insurance from the date of delivery
- The buyer will not hold the seller responsible for any mechanical fault, defect, or liability that arises after the handover
Why dealers need this document
Challan protection
Once the car is handed over, any e-challan raised by traffic cameras against that registration number lands on the seller's record until the RC transfer is done. The RTO transfer can take weeks or months. A signed undertaking gives the dealer a clear written basis to hold the buyer accountable for those fines.
Transfer timeline
Buyers sometimes delay the RC transfer, leaving the old owner's name on the RC. The undertaking fixes a deadline and a commitment, making it harder for a buyer to ignore the transfer.
Condition disputes
Buyers occasionally return to a dealer weeks later claiming a fault existed at the time of sale. An undertaking that records the vehicle's condition at delivery, and the buyer's acceptance of it, protects the dealer from those claims.
It pairs with, not replaces, official documents
The undertaking is a private agreement between buyer and seller. It does not replace Form 29 and Form 30 for the RTO, or the sale letter, or the delivery note. All of those documents still travel with the car.
What a buyer undertaking must include
- Date and place of signing
- Buyer's full name, address, and phone number
- Dealer's name, address, and GSTIN (if registered)
- Vehicle details: registration number, make, model, year, chassis number, engine number
- Delivery date (the date physical possession passed)
- Odometer reading at delivery
- A clause accepting responsibility for all challans after the delivery date
- A clause committing to complete RC transfer within [X] days
- A clause confirming the vehicle was inspected and accepted in its current condition
- Buyer's signature, date, and ideally a witness signature

The undertaking does not need to be notarised or stamped for everyday used-car transactions between a dealer and a private buyer. A plain-paper signed copy is sufficient for most practical purposes. Some dealers do opt for stamp paper for higher-value deals.
